Ayrshire Golf Scotland
Following a hiatus since COVID Ayrshire Golf Scotland has been reformed up by the member golf courses and clubs to provide the sector a platform from which to build a collaborative business development plan. A steering group was set up in early 2025 and this group will take the project froward until the first AGM in November 2025.
The organisation is looking to work with partners throughout the golf tourism sector in Ayrshire and Arran to develop a stronger digital platform and highlight the opportunities for businesses to work together in a series of initiatives with the end aim of increasing the economic value of the golf tourism sector to the area.
The steering group consists of eight individual representatives of the wider organisation four of who have specific responsibilities

1 Name and Purpose
1.1 The name of the organisation shall be Ayrshire Golf Scotland referred to within this document as ("AGS").
1.2 Within this document the use of “Ayrshire” and “Ayrshire Golf Scotland” shall be defined as including golf courses and businesses within the three council areas of North, South and East Ayrshire and/or islands linked to the Ayrshire mainland.
2 Vision
2.1 AGS aims to be recognised as the formal and effective representative body of the golf industry in Ayrshire.
3 Aims and Objectives
3.1 Promote and market Ayrshire as a premier golfing destination.
3.2 Provide a platform for member golf courses to collaborate and share best practices.
3.3 Enhance the golfing experience for visitors to Ayrshire.
3.4 To develop relationships with local, regional, national and international decision makers and partners in order that the views of the Ayrshire golf sector are more clearly and effectively channelled.
3.5 To develop a positive relationship with the media in order that the AGS is seen as a natural spokesman for the golf sector in Ayrshire.
3.6 To work with other organisations within the golf, tourism and hospitality industries locally and nationally in order that a more integrated and strategic approach to communications, lobbying and planning can be developed both within and out with Ayrshire.
3.7 To work with industry bodies and those with associated interests in developing and implementing a co-ordinated marketing programme aimed at increasing golf visitor numbers and spends to members courses and properties.
3.8 To raise the awareness of the industry and encourage a more positive approach to careers development.
4 Membership
4.1 The executive committee of AGS shall determine whether or not an applicant for membership is eligible for membership subject to the right of appeal by the applicant to a General Meeting of AGS.
4.2 All applications for membership shall be submitted in writing to the secretary of AGS, all such applications shall be signed by two members of AGS and shall be submitted by the secretary to the executive committee of AGS for consideration.
4.3 Applicants for membership of AGS shall be deemed to have accepted the constitution of AGS at the time of accepting membership.
5 Full Member
5.1 Full membership is open to golf courses, golf clubs and golf practice facilities within Ayrshire as defined in 1.2
5.2 Full members shall have a single transferable vote in all elections.
6 Associate Members
6.1 Associate membership can be offered by the executive committee at its discretion.
6.2 Associate membership offers would be approved and amended by the membership at the Annual General Meeting or by email vote if required.
7 Full Members Fees
7.1 The annual subscription for full membership will be determined at the AGM held each November.
8 Associate Members Fees
8.1 The annual subscription for Associate Members is set at the AGM held each November.
9 Termination of Membership
9.1 Any member wishing to resign membership of the group shall give notice in writing to the Secretary of AGS. 50% of membership fees are non-refundable; the balance will be returned on a pro rata basis.
9.2 All Memberships will be renewable on the 1st of November each year. Memberships shall be deemed to have lapsed if not renewed within six weeks of the date of invoice.
9.3 A member shall cease to be a member of AGS if
• They cease to be eligible as defined in the membership section
• The executive committee decide that in its opinion the member has acted contrary to the interests of AGS and membership should be terminated, subject to the right of appeal by the member to a General Meeting of AGS.
10 Organisation Structure
10.1 The affairs of AGS shall be managed by a Committee consisting of:
• Chairperson: Elected by Full Members for a term of two years
• Vice-Chairperson: Elected by Full Members for a term of two years
• Secretary: Elected by Full Members for a term of two years
• Treasurer: Elected by Full Members for a term of two years
• Four Committee Members: Elected by Full Members for a term of one year.
10.2 The Committee shall meet at least four times per annum to conduct AGS business.
10.3 Terms of appointment may be altered at the discretion of the Executive Committee.
10.4 A quorum for Committee meetings shall consist of 50% of members.
10.5 Meetings can take place in person or by virtual meeting
11 Annual General Meeting (AGM)
11.1 An AGM shall be held annually in November at a time and place determined by the Committee.
11.2 All Full Members shall be given at least 28 days written notice of the AGM.
11.3 The business of the AGM shall include:
• Presentation of the annual report and accounts.
• Election of Committee members.
• Any other business properly brought before the meeting.
12 Finances
12.1 The funds of AGS shall be derived from membership fees, sponsorships, grants, and any other lawful income.
12.2 The Treasurer shall maintain accurate records of all AGS income and expenditure.
12.3 The accounts of AGS shall be audited annually.
13 Amendments to the Constitution
13.1 This Constitution may be amended by a two-thirds majority vote of Full Members present at an AGM or at a Special General Meeting called for that purpose.
13.2 Proposed amendments must be submitted to the Secretary in writing at least 28 days prior to the meeting.
14 Dissolution
14.1 AGS may be dissolved by a resolution passed by a three-quarters majority of Full Members at a Special General Meeting called for that purpose.
14.2 In the event of dissolution, any remaining assets, after the satisfaction of all debts and liabilities, shall be distributed to a charitable organisation with objectives similar to those of AGS, as determined by the Full Members.
15 Code of Conduct
15.1 All members shall conduct themselves in a professional manner and uphold the reputation of AGS and Ayrshire as a golfing destination.
16 Effective Date
16.1 This Constitution is effective from 1st of June 2025.

1. Company Name and Legal Form
1.1 The name of the Organisation is Ayrshire Golf Scotland.
1.2 The Organisation is a private company limited by guarantee and not having a share capital.
2. Registered Office
2.1 The registered office of the Organisation will be situated in Scotland.
3. Objects
3.1 The objects for which the Organisation is established are:
(a) To promote Ayrshire as a leading golf destination;
(b) To coordinate marketing campaigns on behalf of member golf courses;
(c) To develop tourism partnerships with local and national bodies;
(d) To support economic development in Ayrshire through golf tourism;
(e) To facilitate events, tournaments, and golf-related festivals;
(f) To share best practices among members for mutual benefit.
4. Powers
4.1 In furtherance of the above objects, but not otherwise, the Company shall have power to:
(a) Apply for and receive grants or funding;
(b) Enter into marketing agreements or partnerships;
(c) Employ staff or contractors;
(d) Purchase or lease property, equipment, or services;
(e) Raise income through sponsorship, memberships, or merchandising.
5. Members
5.1 Membership shall be open to golf courses within Ayrshire that support the objects of the Company.
5.2 Each Member shall have one vote at general meetings.
5.3 Admission procedures, membership fees, and resignations shall be governed by the organisation’s constitution.
6. Executive Board
6.1 The organisation shall have an Executive Committee consisting of not less than four and not more than eight individuals.
6.2 Committee members shall be nominated and elected by the Members.
6.3 The term of office shall be three years, with the possibility of reappointment.
6.4 The Executive Committee shall manage the day-to-day affairs and strategic direction of the Company.
7. Meetings
7.1 The Organisation shall hold an Annual General Meeting (AGM) each year.
7.2 Executive Committee meetings shall be held at least quarterly.
7.3 Decisions shall be made by majority vote; quorum for board meetings shall be 50%.
8. Liability of Members
8.1 Each member undertakes to contribute a maximum of £1 in the event of the Organisation being wound up while they are a member or within one year of ceasing to be a member.
9. Finance and Audit
9.1 Proper accounts shall be kept.
9.2 An independent examiner or auditor may be appointed annually.
9.3 The financial year shall end on 30th November each year.
10. Conflict of Interest
10.1 Executive Committee members must declare any personal interest in transactions.
10.2 Conflicted individuals may not vote on related matters.
11. Amendments
11.1 These Articles may be amended by a special resolution passed by a 75% majority at a general meeting.
12. Dissolution
12.1 Upon winding up, assets shall be distributed to a body with similar aims, or for charitable purposes.
